Foreign investment control

EU Regulation 2019/452 represents a paradigm shift in the European approach to foreign investments, establishing a strict framework for the control of these investments for security and public order reasons. Along the same lines, the Spanish Parliament has recently enacted a set of regulations to control foreign investments.

The new foreign investment control regime needs to be considered carefully in relation to M&A activity.

We provide advice on procedures relating to consultation and notification of corporate transactions before the Spanish foreign investment control authorities. We have in-depth knowledge of the substantive and procedural rules of the administrative control regime. We work with both foreign companies and their international advisers, with the aim of avoiding or minimising the risks derived from Spain’s foreign investment control regime for cross-border transactions.
